1. Purpose
These General Terms of Use (hereinafter "GTU") define the conditions under which the company AlgoREP provides Users (hereinafter "User(s)") with services (hereinafter "Services") via the website algorep.ai(hereinafter "Site").
Use of the Services is subject to acceptance and compliance with these GTU. By accessing and using the Site and Services, the User acknowledges having read these GTU and accepts them without reservation.
2. Description of Services
The Services offered by AlgoREP via the Site include:
* Provision of a B2B SaaS solution enabling regulatory compliance management for companies within the framework of Extended Producer Responsibility (EPR);
* Provision of consulting and assistance services in regulatory compliance matters;
* Provision of content and information on regulations applicable to companies.
3. Access to Services
The User must be a legal entity and have legal capacity to subscribe to the Services offered by AlgoREP via the Site.
The User must provide accurate, current and complete information during registration and subscription to the Services.
The User is solely responsible for the confidentiality of their credentials and password and undertakes not to communicate them to third parties.
AlgoREP reserves the right to refuse access to the Services, delete a User account and terminate these GTU in case of violation of these GTU or breach of the User's obligations.
4. Duration and termination
These GTU enter into force upon acceptance by the User and are concluded for an indefinite period.
Either Party may terminate these GTU at any time, without cause and without notice, by sending an email to the other Party.
In case of breach by a Party of any of its obligations, the other Party may give formal notice to remedy the breach within fifteen (15) days from receipt of the formal notice. Failure to remedy the breach within this period shall entitle the aggrieved Party to terminate these GTU without notice.
5. Price and payment terms
Prices for the Services are indicated on the Site and are expressed in euros excluding taxes. Prices may be modified at any time by AlgoREP, subject to informing the User prior to subscription to the Services.
The Services are provided according to the following modalities:
* Plan subscription: the User pays a fixed monthly or yearly amount to benefit from the Services during that period;
* Gravity Credits: the User pays a fixed amount depending on the quantity of Credits he buys.
Payment terms are as follows:
* By credit card: payments are secured and processed by Stripe, a globally recognized payment service provider;
* By bank transfer: AlgoREP's bank details are indicated on the invoice.
6. Warranties and liability
AlgoREP undertakes to provide the Services diligently and according to professional standards.
AlgoREP does not guarantee that the Services are free from anomalies, errors or bugs, nor that the Services will function without interruption.
AlgoREP shall not be liable for direct or indirect damages suffered by the User resulting from use of the Services, including data loss, loss of profits, loss of operation or commercial prejudice.
The User is solely responsible for content and information published or transmitted via the Services. The User indemnifies AlgoREP against any action, claim, demand or opposition from third parties related to the User's use of the Services.
7. Intellectual property
The Site and Services, as well as all elements composing them (texts, images, videos, logos, databases, etc.), are the exclusive property of AlgoREP or its licensors.
The User is prohibited from reproducing, representing, modifying, adapting, translating, disassembling, decompiling or extracting all or part of the Site and Services without prior written authorization from AlgoREP.
8. Applicable law and jurisdiction
These GTU are governed by French law. Any dispute relating to the interpretation or execution of these GTU shall be subject to the exclusive jurisdiction of French courts.
9. Modification of GTU
AlgoREP reserves the right to modify these GTU at any time, subject to informing the User prior to subscription to the Services.
Any modification shall take effect immediately upon publication on the Site.
The User is invited to consult these GTU regularly.
